Welcome to Pantova. By using our platform, you agree to these Terms of Service. Please read them carefully.

1. Agreement and Eligibility

By accessing or using Pantova, you agree to be bound by these Terms of Service, our Privacy Policy, our Acceptable Use Policy, and our Refund Policy. If you do not agree to these terms, do not use our services.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use Pantova. If you are using Pantova on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

2. Description of Service

Pantova is a professional services platform that enables users to:

• Create and customize storefronts
• Sell digital products and offers
• Offer memberships
• Process payments through integrated payment providers
• Track analytics and performance
• Use AI-powered tools via Tova Credits

Pantova acts as a platform facilitating transactions between providers and buyers. Pantova is not a party to transactions between providers and buyers and is not responsible for the quality, safety, legality, or delivery of items or services offered by providers.

3. Account Registration and Security

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Marketplace and Platform Fees

4.1 Platform Role

Pantova facilitates marketplace transactions between providers and buyers using Stripe Connect for payment processing. Pantova is not the provider of goods or services listed on the platform. Each provider operates independently and is solely responsible for their offerings.

4.2 Fee Schedule

Pantova charges platform fees based on your subscription plan:

4.3 How Fees Work

• Buyers pay the full listed price at checkout
• The platform fee (if applicable) is deducted from the provider's payout before transfer
• Stripe's standard payment processing fees are charged separately and are not included in the platform fee
• Providers receive the transaction amount minus any applicable platform fee and Stripe processing fees

4.4 Provider Obligations

As a provider on Pantova, you agree to:

• Deliver products and services as described in your listings
• Maintain accurate and truthful listing descriptions
• Respond to buyer inquiries in a timely manner
• Comply with all applicable laws and our Acceptable Use Policy

4.5 Buyer Obligations

As a buyer on Pantova, you agree to:

• Provide accurate payment information
• File disputes honestly and in good faith
• Contact the provider or Pantova support before initiating a chargeback with your payment provider

5. Subscriptions, Memberships, and Credits

5.1 Platform Subscriptions

Pantova offers paid subscription plans: Flagship ($79/month) and Franchise ($199/month). Subscriptions are billed monthly and may be canceled at any time. Upon cancellation, you retain access to paid features until the end of your current billing period.

5.2 Creator Memberships

Providers on Pantova may offer their own membership plans to buyers. These memberships are agreements between the provider and the buyer. Pantova processes payments on behalf of providers but is not a party to these membership agreements. Membership terms, pricing, and benefits are set by the provider.

5.3 Tova Credits

Tova Credits are used to access AI-powered tools on Pantova. Credits are subject to the following terms:

• Monthly credit allocations reset on your billing cycle date
• Purchased credit packs have an expiration date and are used after monthly credits are exhausted
• Credits are non-transferable and have no cash value
• Daily usage caps may apply to prevent abuse
• Unused monthly credits do not roll over to the next billing period

6. User Conduct

You agree not to use Pantova to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Distribute harmful, fraudulent, or deceptive content
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the platform

7. Intellectual Property

You retain ownership of content you create on Pantova. By posting content, you grant us a license to display, distribute, and promote your content as part of the service. Pantova and its logos, features, and functionality are owned by Pantova, Inc.

8. Dispute Resolution and Refunds

We encourage buyers and providers to resolve disputes directly. If you are unable to reach a resolution, please contact Pantova support before initiating a chargeback with your payment provider.

Refunds are handled in accordance with our Refund Policy. In the event of a refund, platform fees may be retained at Pantova's discretion depending on the circumstances of the transaction.

9. Disclaimer of Warranties

Pantova is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Pantova shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

11. Termination

We may suspend or terminate your account if you violate these terms. You may cancel your account at any time. Upon termination:

• Your right to use the service ceases immediately
• Any remaining Tova Credits are forfeited and have no cash value
• Pending payouts will be processed according to Stripe's standard payout schedule
• Your obligation to pay any outstanding fees survives termination

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in the State of Delaware for the resolution of any disputes arising from these terms or your use of Pantova.

13. Changes to Terms

We may modify these terms at any time. We will notify you of material changes by posting the updated terms and updating the "Last updated" date. Continued use constitutes acceptance of the new terms.
